There are many differences between the two, most notable is the buy now feature. If you uncheck the "recur" option, the module now becomes a buy now type subscription.
The new gui makes the admin process much simplier.
Plugins are now much enhanced, you can create one or have one created and no core files would need to be edited. Upload a plugin and click the install button and you are good to go.
Payments are also now true plugins so you can upload new ones and it will be ready to use with the module.
You can now set payment per plan which is a very big deal if you use the phpnuke points system.
The new template system makes it much easier to customize the module.
You can now transfer ws groups members from one to the other.
You can now also transfer plan members from one to the other.
You can now add subscription to a user without adding them to a plan.
Searching the payment history using subscription id, username, real name( all done using ajax )
You can now set the expiration email. You can also set the days before expiration when the email is sent.
Processing subscriptions are now automatically deleted after set days.
A new incredible payment gateway is just about ready to use. I worked along with the support team for network merchant to integrate their payment system.

If you use nsn groups, a plugin will need to be created before upgrading. V3 does not include nsn group and your recurring subscribers will not be updated correctly.
The upgrade will not affect the current subscribers. Your database tables will be kept intact but some will be updated.
